When arbitration instead of state court?
In international matters, where confidentiality is important, or where complexity is high, arbitration is often the better option.
Can court hearings take place online?
Yes. Under Section 128a of the German Code of Civil Procedure (ZPO), the court may allow parties, authorised representatives or witnesses to participate in the oral hearing via video transmission. This requires a corresponding order by the court or the court’s consent. The online hearing replaces physical attendance while preserving procedural principles; it is particularly relevant in practice for supra-regional or international participants.
What exactly does due diligence mean?
The buyer reviews all legal, tax and financial aspects. This is a duty of care. We structure the data room, protect confidential information and manage the process efficiently.
How does a company sale work?
In four phases: preparation, approaching buyers, negotiation & due diligence, and contract execution (signing/closing). We support you through every legal step.
How long does a sales process take?
Typically between three and nine months—depending on preparation, buyer interest and the pace of negotiations.
Which documents do I need to get started?
Above all, current corporate, employment, lease, customer and supplier agreements, annual financial statements and IP documents. We help structure and align these documents.
What are the most important points in the purchase agreement?
Purchase price, warranties, liability, non-compete clauses and payment terms. We ensure that your interests are protected legally and commercially.
How are real estate or hidden reserves treated?
Whether a property remains in the company, is sold separately or is leased affects the purchase price and the tax burden. We help find the solution that best fits commercially and from a tax perspective—together with your tax advisers.
How does communication with the buyer work?
Usually via M&A advisers or directly through us as your legal representatives. We ensure clear, confidential and solution-oriented communication—even in sensitive phases.
How can I tell whether my company is ready to be sold?
Stable revenue, functioning processes and independent management are good prerequisites. We help identify potential stumbling blocks at an early stage.
When is the right time to start a company sale?
Ideally two to three years before the planned exit—so there is enough time to prepare figures, structures and contracts optimally.
However, a sale is also possible at short notice (“ad hoc”), for example for personal or economic reasons. Good results can still be achieved, although often with somewhat less room for structuring and more compromises on structure or timeline.
What is the difference between a sale to family, management or investors?
An external sale usually focuses on achieving the best price, while internal successions prioritise continuity and preserving values. The legal and tax consequences differ—we show you what best fits your objectives.
How can I prepare my company for a sale?
We review and harmonise your key agreements—such as corporate, employment, lease and customer contracts—so that, from a buyer’s perspective, they are consistent, up to date and legally robust.
What if I do not yet have a specific buyer?
No problem—specialised M&A advisers can support the buyer search, while we prepare the legal structure and documentation in parallel.
What does it mean if my company is part of a holding structure?
Many entrepreneurs hold their operating company through a holding company. This can bring tax advantages—especially on a sale. What matters is how profits and proceeds flow between the companies. We review whether your structure is optimally set up for the planned sale or should be adjusted.
Do I need to change the corporate structure before the sale?
Sometimes that can be sensible—for example, to separate non-operating assets or to simplify the shareholding structure. We assess this on a case-by-case basis and support implementation.
How can I involve my family in a sale or succession?
Through clear contractual arrangements, gifting models or advisory board solutions—legally sound, tax-efficient and with minimal potential for conflict.
How can I structure the sale from a tax perspective?
Together with your tax advisers, we review possible structures—such as holding models, gifting variants or asset transfers—to optimise the proceeds from a tax perspective.
How can I protect myself against later liability risks?
Through precise warranties, liability caps and—where suitable—the use of W&I insurance, which can cover certain risks and relieve both buyer and seller.
What happens after the sale?
Sellers often continue to support their company for a transitional period—for example in an advisory capacity or in management. We help clearly structure this phase contractually, structure reinvestments or earn-out arrangements, and adjust your private asset structure in a legally sound manner.
What happens if the buyer wants to renegotiate?
We review the arguments, protect your position and find solutions without jeopardising completion.
How are legal services billed?
Transparency is important to us. We discuss costs in advance and offer different models depending on the project—for example hourly billing, a budget framework, or fixed fees for clearly defined individual steps.
How are legal fees billed in litigation?
In court proceedings, billing under the German Lawyers’ Remuneration Act (RVG) is the statutory minimum standard. Deviating fee agreements (e.g., hourly rates) are permissible, but may not fall below the statutory fees insofar as recoverable costs in cost assessment proceedings are concerned. This means that even with an individual fee agreement, the cost burden of the losing party is regularly based on the RVG.
