A notary is engaged in Germany whenever the legislature considers a transaction so consequential that it should not be concluded without independent review and instruction: when purchasing real estate, when forming a GmbH, when transferring company shares, in prenuptial agreements, in inheritance contracts. Frankfurt am Main has a distinctive feature that surprises many clients: the attorney-notary system applies here. The notary who notarizes your contract is simultaneously a lawyer – and thus, at best, someone who understands the economic logic behind the deed, not just its form.
This guide explains when the law mandates a notary, how a notarization procedure works in practice in Frankfurt, what it costs, what is now possible digitally – and how to recognize a notary's office that delivers more than the statutory minimum.
At a Glance
- What a notary does: He notarizes legal transactions, instructs both parties independently and impartially, drafts contracts, and executes them with the Land Registry, Commercial Register, and tax authorities.
- When he is mandatory: including for real estate purchase contracts (§ 311b BGB), GmbH formations and share transfers (§§ 2, 15 GmbHG), articles amendments, conversions, inheritance contracts, prenuptial agreements, and waivers of compulsory portions.
- Frankfurt particularity: The attorney-notary system applies in the Higher Regional Court district of Frankfurt am Main – notaries here are simultaneously admitted lawyers. In the northern Hessian area (Regional Court districts of Kassel, Fulda, and Marburg), the full-time notary system applies instead.
- Costs: Notary fees are mandatorily derived from the GNotKG and are based on the transaction value. They are not negotiable – agreements on the amount of costs are invalid.
- Digital: Corporate law matters such as GmbH formations, articles amendments, and Commercial Register filings are possible via video communication. Real estate purchase contracts, prenuptial agreements, and inheritance contracts remain in-person transactions.
What Distinguishes a Notary from a Lawyer
The difference is fundamental and is regularly underestimated in practice. A lawyer is an advocate: he stands on one side, drafts in favor of his client, and negotiates against the opposing party. The notary is the opposite. He is the holder of a public office and is obligated under § 14 of the Federal Notaries Act to independence and impartiality. He does not advise one party, but all participants equally – including those who negotiated poorly.
From this follows his central duty: According to § 17 of the Notarization Act, the notary must ascertain the will of the participants, clarify the facts, instruct them on the legal implications of the transaction, and reproduce their declarations clearly and unambiguously in the deed. He must also ensure that errors and doubts are avoided and that inexperienced participants are not disadvantaged. This duty of instruction is not a ritual, but the actual reason why the legislature prescribes notarization for certain transactions at all.
The notarial deed also has effects that a privately written contract never achieves: it provides full proof of the declarations made, it is a prerequisite for entries in the Land Registry and Commercial Register, and it can – with an appropriate submission declaration – be directly enforceable. A bank can enforce from a notarial land charge order without first having to conduct court proceedings.
The Attorney-Notary System: The Frankfurt Particularity
Germany does not have a uniform notary system. In some federal states there are exclusively full-time notaries, in others attorney-notaries who exercise both offices side by side. Hesse is divided – although the state has only one Higher Regional Court district, that of the Higher Regional Court of Frankfurt am Main: In the district of the Frankfurt am Main Chamber of Notaries, and thus in Frankfurt itself, in the Rhine-Main area, and in large parts of southern and central Hesse, the attorney-notary system applies. In the district of the Kassel Chamber of Notaries, which comprises the Regional Court districts of Kassel, Fulda, and Marburg, the full-time notary system applies instead.
An attorney-notary in Frankfurt is thus both: admitted lawyer and appointed notary. The path there is narrower than many assume. Required are several years of legal professional experience, passing the notarial specialist examination – a nationwide uniform examination with a considerable failure rate – and appointment by the President of the Higher Regional Court of Frankfurt am Main to a previously advertised notary position. The number of positions is limited and is based on the need for orderly administration of justice. The legislature most recently relaxed the access rules selectively in 2026, but maintained the fundamental structure of the appointment procedure.
For clients, this has a practical effect that particularly counts in transactions. Anyone buying a company, contributing real estate to a special purpose vehicle, or structuring succession works at the interface between negotiation and execution. A notary who knows from his own legal practice how a purchase price adjustment mechanism works, how a financing condition is formulated, or what typically causes a closing to fail reads the draft contract differently than someone seeing it for the first time. He recognizes execution risks before they emerge in the appointment.
The separation of roles remains important: in the same matter, an attorney-notary may not act simultaneously as a party's lawyer and as notary. Whoever notarizes is at that moment there for all participants.
When the Law Mandates a Notary
Notarization requirements are not formalities, but warning, evidentiary, and advisory instruments. If the prescribed form is missing, the transaction is void – with consequences that often only become apparent years later.
Real Estate and Land
Every contract by which someone obligates himself to transfer or acquire real estate requires notarization according to § 311b para. 1 BGB. This applies to the terraced house in northern Frankfurt as well as to the office building in the banking district and to the acquisition of a project development. The conveyance – the real agreement on the transfer of ownership – must also be declared before the notary according to § 925 BGB. In practice, land charge orders in favor of the financing bank, easements, heritable building rights, declarations of division under the Condominium Act, and developer contracts are added.
A frequently overlooked point: ancillary agreements that are intended to stand and fall with the real estate transaction also belong in the deed. Anyone who agrees on part of the purchase price "bypassing the notary" for inventory or construction services risks the invalidity of the entire contract.
Corporate Law and Transactions
In corporate law, the notary is structurally built in. The GmbH articles of association require notarial form according to § 2 para. 1 GmbHG. The assignment of GmbH shares and even the obligation to do so are subject to notarization according to § 15 paras. 3 and 4 GmbHG – the reason why practically every share deal in a German GmbH goes through the notary's office. Articles amendments including capital increases and decreases require a notarially notarized shareholders' resolution according to § 53 para. 2 GmbHG. Merger, demerger, and conversion transactions under the Transformation Act are inconceivable without a notary; merger agreements and the associated consent resolutions are subject to notarization.
Added to this is the execution level, which extends beyond the notarization appointment: the notary submits Commercial Register filings, corresponds with the registry court, and in the case of the GmbH, he submits the updated list of shareholders to the Commercial Register according to § 40 para. 2 GmbHG. Only with its inclusion in the registry file is the person entered there deemed a shareholder in relation to the company (§ 16 para. 1 GmbHG) – a detail with considerable explosive power when voting rights or profit claims are in dispute.
Inheritance, Family, and Precaution
A public will is executed before the notary according to § 2232 BGB; the inheritance contract mandatorily requires notarial form with simultaneous presence of both parties according to § 2276 BGB. Prenuptial agreements – such as modification of the community of accrued gains or separation of property – require notarization according to § 1410 BGB, as do inheritance and compulsory portion waiver contracts according to § 2348 BGB, which play a central role in business succession. The promise of gift is also subject to form according to § 518 para. 1 BGB, as long as the gift has not already been executed.
Practically important are also powers of attorney for precaution, care directives, and living wills. Notarially notarized, they are generally accepted by banks, authorities, and Land Registry offices; a power of attorney that is also intended to cover real estate transactions cannot do without notarial form anyway. The Federal Chamber of Notaries maintains both the Central Register of Wills and the Central Register of Precautionary Powers, so that probate courts and guardianship courts can reliably find what has been executed in an emergency.
Notarization or Authentication?
The two terms are frequently confused but differ considerably. In authentication, the notary merely confirms the authenticity of a signature or the conformity of a copy with the original. He does not examine the content and is not liable for it either. In notarization, he is responsible for the content: he drafts or examines the text, instructs on the consequences, reads the deed in full during the appointment, and includes it in his collection of deeds. Commercial Register filings, for example, require only authentication, but the underlying resolution often requires full notarization. The fees differ accordingly.
The Real Estate Purchase Contract in Frankfurt: The Process in Practice
Between agreement on the purchase price and entry in the Land Registry, two to four months typically pass in Frankfurt. The process follows a fixed pattern.
- Draft and transmission. The notary prepares the draft contract based on the information provided by the participants and a current Land Registry extract. If a consumer is involved, the draft must generally be made available to him two weeks before the notarization appointment according to § 17 para. 2a sentence 2 no. 2 BeurkG. This period serves to protect against being rushed and is not at the parties' disposal – even when both sides are in a hurry.
- Notarization appointment. The deed is read in full, questions are answered, changes can be incorporated immediately. Only then is it signed. Anyone being represented requires an authenticated power of attorney; subsequent ratification is possible but delays execution.
- Securing the buyer. Immediately after notarization, the notary arranges for the entry of a transfer restriction notice. It secures the buyer's claim to transfer of ownership and prevents the property from being sold or encumbered to third parties in the interim.
- Execution prerequisites. The notary obtains what the Land Registry office and the participants need: declarations of release from encumbrances from creditor banks, waiver declarations regarding municipal preemption rights, approvals if applicable. In Frankfurt, particular attention must be paid to preservation statutes (rent control) in several districts: there the city has a preemption right, and without a negative certificate or waiver declaration, no transfer will occur. This takes time and belongs in every realistic schedule.
- Notice of due date and purchase price payment. Only when all prerequisites are met does the notary notify the due date of the purchase price. The money laundering prohibition on cash payments must be observed: Since April 1, 2023, the purchase price for real estate may no longer be paid in cash – nor in crypto assets, gold, or precious stones – according to § 16a GwG. The notary may only file the application for entry with the Land Registry once non-cash payment has been proven to him, for example through confirmations from the participating credit institutions.
- Tax and clearance certificate. The notary reports the acquisition transaction to the tax office. In Hesse, the real estate transfer tax amounts to 6 percent of the purchase price – thus €36,000 for an apartment costing €600,000. Once it is paid, the tax office issues the clearance certificate, without which a transfer of ownership does not occur.
- Transfer of ownership. The notary applies for execution of the conveyance. With entry in the Land Registry, ownership transfers – not already with payment, not with handover of keys.
GmbH, Share Purchase, Conversion: Corporate Notary Practice
In corporate transactions, the notary appointment is not a conclusion, but a coordination problem. A share deal is frequently executed in stages: signing and closing fall apart because antitrust clearances, consents from co-shareholders, or the redemption of financing lie in between. Both are subject to notarization when shares are transferred. If the contract text is then still being negotiated while the participants are already sitting in the appointment, the notary's preparation determines whether the day ends productively.
Typical pitfalls are well known yet frequent: unclear provisions on the transfer of profit participation rights, a list of shareholders that has not reflected the actual status for years, old transfer restrictions in the articles requiring consent, or chains of powers of attorney that cannot be proven in the appointment. With international participants, apostilles, commercial register extracts of foreign companies, and certified translations are added – all issues that should be clarified two weeks before the appointment and not the evening before.
Similar applies to conversions with tight deadlines: the registry court may only register a merger if the final balance sheet is prepared as of a reference date that is at most eight months before the filing (§ 17 para. 2 UmwG). Anyone scheduling notarization too late loses the desired retroactive period – a purely technical error with immediate balance sheet and tax effects. At least the Federal Court of Justice clarified in 2025 that the final balance sheet need not be available at the time of filing but can be submitted promptly thereafter; what matters is the reference date, not the time of preparation.
Online or On-Site? What Is Digitally Possible
Since August 1, 2022, the GmbH with cash contributions can be formed via video communication; since August 1, 2023, contributions in kind, unanimous articles-amending resolutions including capital measures, and online authentications of registry filings for other legal forms are also possible, among others. Technically, this runs through the Federal Chamber of Notaries' video communication system: identification is via the identity card with activated online identification function, read via smartphone app, and the signature is made as a qualified electronic signature. A draft law for further expansion of notarial online procedures in corporate and registry law – including the establishment of articles for stock corporations and certain notarial powers of attorney – is currently in the parliamentary process.
Equally important is what does not go online. Real estate purchase contracts, prenuptial agreements, inheritance contracts, and wills remain in-person transactions – for good reasons: precisely there, the personal conversation is the actual protective mechanism. Document custody is now also digital: notarial deeds have been maintained in the Electronic Deed Archive since 2022, supplemented by the paper deed collection that continues to be maintained.
What Does a Notary in Frankfurt Cost?
Notary fees are not an offer, but law. They result from the Court and Notary Costs Act (GNotKG) and are based on the transaction value, not on the effort or the client's negotiating power. The notary is obligated under § 17 para. 1 BNotO to charge the statutory fees; a waiver or reduction is only possible in narrowly defined statutory exceptional cases and with the consent of the Chamber of Notaries. Agreements on the amount of costs are invalid according to § 125 GNotKG. Price comparison between notary offices therefore leads nowhere – the difference lies in the quality of preparation, not in the price.
The system: From the transaction value, a 1.0 fee results according to Table B, which is multiplied by a factor depending on the transaction. Notarization of a purchase contract triggers a 2.0 fee, a land charge order a 1.0 fee, execution and handling activities each 0.5. For a transaction value of €500,000, the 1.0 fee amounts to €935; the purchase contract notarization thus amounts to €1,870 net. Added to this are execution and handling fees, expenses, and VAT. As a rough guide for real estate purchases: notary and Land Registry costs together are typically around 1.5 to 2 percent of the purchase price.
For notarization of articles of association and articles, a minimum transaction value of €30,000 and a maximum value of €10 million apply according to § 107 para. 1 GNotKG, so that the formation costs of a GmbH remain manageable. For share transfers, however, the value is measured by the market value of the shares – a point that belongs in cost planning early on for larger transactions.
How to Prepare for a Notarization Appointment
A well-prepared appointment rarely lasts longer than one to two hours. What the notary generally needs:
- valid identity documents of all participants (original, at the appointment)
- for real estate: Land Registry data, information on the purchase object, purchase price and payment terms, financing confirmation, information on inventory sold with the property
- for companies: current Commercial Register extract, current list of shareholders, articles in current version, proof of authority to represent
- for representation: original or authenticated power of attorney, apostille and certified translation if applicable for foreign participants
- information on the beneficial owner and documents for money laundering identification
- for wills or inheritance contracts: overview of assets, family circumstances, and existing dispositions
Anyone not sufficiently proficient in German requires an interpreter; the notary organizes this upon request. Foreign-language deeds are possible if the notary masters the language.
Notarial Deed and Economic Advice from One Source
The actual weak point of many transactions lies not in the contract text, but in the transition between advice and execution. Negotiation takes place in the law firm, notarization at the notary's office, and in between knowledge is lost: about the parties' motives, about the status of financing, about which provision was hard-fought and which is merely a template.
This is precisely where the attorney-notary system comes in. At GxG, Samuel von Eicke und Polwitz, appointed notary by the Higher Regional Court of Frankfurt am Main in 2024 with official seat in Frankfurt, combines both perspectives: that of the transaction lawyer who designs and negotiates structures, and that of the notary who notarizes them and brings them to execution. For clients, this means short paths – notarization is not a separate project, but part of a well-conceived process in which deadlines, execution prerequisites, and registry issues are considered from the outset.
The notary's office remains open and impartial to all participants; legal advice in the same matter remains strictly separated from it.
Frequently Asked Questions
When do I need a notary?
Whenever the law prescribes notarial form: for real estate and property purchase contracts, GmbH formations and share transfers, articles amendments, conversions, inheritance contracts, prenuptial agreements, compulsory portion waivers, and public wills. Beyond that, notarization is often voluntarily advisable – for example, for powers of attorney for precaution or when a claim is to be directly enforceable.
What is the difference between authentication and notarization?
In authentication, the notary only confirms the authenticity of a signature or a copy without examining the content. In notarization, he is responsible for the content of the deed, instructs the participants, and reads the text during the appointment.
Can I freely choose the notary?
Yes. The participants choose the notary jointly; there is no local jurisdiction based on residence or location of the property. However, the notary should exercise his deed activity within his official area – that is the district of the local court of his official seat, thus for a Frankfurt notary the Frankfurt am Main local court district.
What does a notary in Frankfurt am Main cost?
The fees are mandatorily based on the GNotKG and the transaction value. For a transaction value of €500,000, the simple fee amounts to €935; a purchase contract triggers twice that. For real estate purchases, notary and Land Registry costs together are typically around 1.5 to 2 percent of the purchase price. Agreements on the amount of costs are invalid according to § 125 GNotKG – nothing can be negotiated here.
Do I really have to wait two weeks?
If a consumer is party to the contract, the draft should generally be available to him two weeks before notarization (§ 17 para. 2a BeurkG). The period protects against hasty decisions and cannot simply be waived by the parties.
What is an attorney-notary?
A lawyer who has been additionally appointed as notary and exercises both offices side by side. In the Higher Regional Court district of Frankfurt am Main, this is the prevailing notary form; prerequisites are several years of professional experience and passing the notarial specialist examination.
Can a notarization take place online?
In corporate and registry law yes – for example GmbH formations, certain articles-amending resolutions, and Commercial Register filings via video communication through the Federal Chamber of Notaries' system. Real estate purchase contracts, prenuptial agreements, inheritance contracts, and wills continue to require personal presence.
How long does it take from purchase contract to transfer of ownership?
In Frankfurt typically two to four months. Decisive are the release from encumbrances by creditor banks, municipal preemption rights – particularly in districts with preservation statutes –, payment of real estate transfer tax, and the processing time of the Land Registry office.
What happens if notarial form is missing?
The legal transaction is generally void. For real estate purchase contracts, the defect can be cured by conveyance and entry, but for other transactions frequently not. Even the attempt to regulate parts of the agreement outside the deed endangers the entire contract.
Conclusion
The notary in Germany is far more than a notarization authority. He secures legal transactions in which much is at stake, he instructs independently, and he actually brings contracts to execution with the Land Registry, Commercial Register, and tax authorities. How well this works is rarely decided in the appointment itself, but in the weeks before: in clarifying execution prerequisites, powers of attorney, deadlines, and tax reference dates.
Anyone acquiring real estate in Frankfurt am Main, forming a company, transferring shares, or arranging succession should therefore not only ask who notarizes, but who understands the transaction.
